The Client represents and warrants that it has obtained all necessary consents, permissions, and authorizations from its customers, leads, and contacts for Ehlen Analytics to engage in outreach, communication, or marketing activities on the Client’s behalf, including but not limited to email, SMS, social media, or phone-based campaigns.

The Client agrees to indemnify, defend, and hold harmless Ehlen Analytics, its officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to any alleged or actual violation of privacy, data protection, or communication laws resulting from Ehlen Analytics’ performance of services under this Agreement based on information, contact lists, or directives provided by the Client.

9. Termination

Either party may terminate services with written notice after the contract is fulfilled. Upon termination:

Any outstanding fees become immediately due
Work completed up to the termination date remains billable
Access to deliverables may be withheld until payment is received

10. Confidentiality

Both parties agree to keep proprietary or sensitive business information confidential unless legally required to disclose it.

11. Governing Law

This Agreement shall be governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Any disputes shall be resolved in arbitration.

12. Amendments

13. Non-Disparagement Clause
